Our business brokerage services are brought to fruition by conducting confidential expression of interest (EOI) campaigns. In our experience, such campaigns are well designed to complete medium-sized business sales in a confidential, timely and commercially optimal manner.

After completing confidential EOI campaigns, the next steps of business brokerage services are as follows:

1. Initial no-cost review

Undertake a review of the business and provide preliminary advice at no cost regarding the estimated sale price, business and transaction risk factors, and the most appropriate method of sale. As part of this review, we will advise you of our costs to act for you as business brokers.

2. Identify suitable acquirers

To prepare a list of potential acquirers who would be interested in and could benefit strategically from acquiring your business, we rely on our knowledge of the marketplace, our network of investors, and additional research as needed. In doing so, we consider the financial capacity of target buyers, and the economies of scale provided through a merger or acquisition. We discuss this target list with you to gain your feedback, and make alterations where necessary before going to market.

3. Prepare transaction documents

We prepare suitable transaction documents to assist with offering your business to the market, including a teaser document, confidential information memorandum(s), confidentiality deeds, and advertising copy (where necessary). We seek your input and feedback on these documents before presenting to potential business acquisition candidates.

4. Due diligence data room

We prepare a due diligence data room, which contains key documents and records pertaining to your business. This enables qualified parties to undertake due diligence.

5. Go to market

Once ready, we make direct contact with target buyers. As part of this, we issue our teaser to those parties that express initial interest in exploring a potential transaction, and arrange for the execution of binding confidentiality deeds with these parties. This ensures confidentiality is managed appropriately. In addition to making direct contact with targets, we sometimes advertise the business through online channels and in print publications. Subject to discussions with interested parties and their execution of our confidentiality deed, we issue interested parties with our confidential information memorandum, and provide them with access to our data room. This enables them to commence the process of preparing an EOI proposal for our consideration.

6. Receive and assess EOI proposals

We often set a deadline date for submission of EOI proposals. Following receipt of proposals, we negotiate with parties to improve the terms of their EOI proposals, and where necessary, seek clarification on any unclear terms contained within their proposals. Pending negotiation and consultation with you, we typically select one party to work with through to completion of a transaction. However, we may continue to negotiate with multiple targets beyond this point if we feel it to be in your best interests to do so.

7. Contracts and completion

We work with your lawyers to ensure final contract terms are consistent with the commercial terms agreed to with the acquirer. We also provide assistance in completing any conditions precedent within the contract of sale. This process will help you sell your business effectively and confidentially.
